Service Agreement

(Advertising Display Subscription Service – Local Beacon)

This Agreement is made between:

Y KAPOOR & N.J SANELLI (ABN: 52881942510), Trading as: Local Beacon (“Service Provider”) , and
[Client Business Name] (“Client”).

 

1. Services Provided

 

1.1. The Service Provider will:

  • Design one (1) digital advertisement for the Client per subscription period

  • Display the Client’s advertisement on a tablet located in the Client’s own premises

  • Display the Client’s advertisement on tablets in 10-15 other participating businesses within the local network (“Cluster”), generally within a 5km radius

  • Display advertisements from other subscribing businesses on the Client’s tablet

1.2. The Service Provider will group businesses into advertising Clusters at its discretion

  • Cluster: Group of 10 businesses


1.3. The Client may opt out of displaying ads for direct competitors (e.g., a café may refuse ads for another café)

 

2. Subscription Options & Fees

 

2.1. The Client may select from the following subscription options:

  • 3 months: $55 per week - with setup costs

  • 6 months (lock-in): $50 per week - with setup costs

  • 12 months (lock-in): $45 per week - with no setup costs
     

2.2. Fees are payable in advance by [direct debit/credit card]


2.3. Subscription Start Date: The subscription period begins only once the Local Beacon Device is set up at the Client’s location


2.4. Subscription Length Adjustment: If delivery/setup of the device takes time after sign-up, the number of days between subscription purchase and device setup will be added to the subscription length to ensure full service is provided

 

3. Devices, Setup & Maintenance

 

3.1. The Service Provider will order and deliver one Local Beacon Device (tablet + stand) for the Client at subscription start


3.2. Delivery is expected within approximately 1.5 weeks of subscription purchase


3.3. The Client must:

  • Display the device in a clearly visible, unobstructed location within their store

  • Ensure the device is powered on and displaying ads during business hours at all times

  • Not attempt to repair, tamper with, or alter the device

 

3.4. All maintenance and support will be provided by the Service Provider

 

3.5. Any loss, theft, or damage to the device is the responsibility of the Client. A replacement fee of $250 per device applies

 

4. Client Responsibilities

 

4.1. Provide accurate and timely branding materials (logos, text, imagery) for advertisement design - if on hand, otherwise we can create                            

 

4.2. Approve final advertisement designs before publishing
 

4.3. Display ads from other participating businesses as part of the subscription

 

5. Content Creation & Usage Rights

 

5.1. The Client grants the Service Provider permission to use their logo, business name, and location details for:

  • Advertisement creation

  • Local Beacon’s website, promotional materials, and social media    

 

5.2. Ads must comply with all advertising laws and standards
 

5.3. Strictly prohibited: adult content, political ads, offensive or discriminatory material
 

5.4. The Service Provider reserves the right to reject or remove ads at its discretion
 

 

6. Data Privacy & Usage

 

6.1. The Client must not use the Local Beacon Device to store or transmit sensitive customer information
 

6.2. The Service Provider is not liable for any accidental advertising of competitor businesses or display of ads outside of the intended Cluster
 

6.3. Email communication: The Client agrees that Local Beacon may send subscription-related emails, including promotions, advertising placement notifications, device updates, pricing changes, and service announcements

 

7. Pricing Adjustments

 

7.1. Subscription prices may change in the future
 

7.2. The Service Provider will provide advance notice of any pricing change
 

7.3. The Client will be given the option to continue under the new pricing or conclude their contract at the end of the current subscription period

 

8. Term & Termination

 

8.1. Subscription contracts are binding for the chosen duration (3, 6, or 12 months)
 

8.2. Early termination is not permitted unless agreed in writing by the Service Provider        

 

8.3 If business wishes to cancel subscription instantly, the locked in contract time length will need to be paid out
 

8.4. The Service Provider may suspend or terminate the Agreement immediately if:

  • The Client fails to make payments, or

  • The Client breaches display or content obligations.
     

9. Limitation of Liability

9.1. The Service Provider does not guarantee any specific business outcomes (e.g., sales or revenue)


9.2. The Service Provider is not liable for service interruptions caused by power outages, internet issues, or factors outside its control


9.3. Liability is limited to the total amount paid by the Client in the preceding 3 months

 

10. General Terms

 

10.1. This Agreement is the entire understanding between the Parties and supersedes any prior discussions.


10.2. Variations must be in writing and signed by both Parties


10.3. This Agreement is governed by the laws of [Your State, Australia]
